Wholesale Automatics Affiliate Program Terms and Conditions
Welcome to the Wholesale Automatics Affiliate Program. It’s great to have you on board! We are keen to partner with you to offer great products to your audience, help us increase our sales and also, of course, reward you for sending us referred sales.
Our affiliates play an important role in our business, and this agreement is designed to both benefit you and protect the Wholesale Automatics brand. If you have any questions, please don’t hesitate to reach out to us on [email protected]
Wholesale Automatics Affiliate Agreement
Important: Please Read Carefully
This document is a legal agreement between you and Wholesale Automatic Transmissions Pty Ltd (“the Agreement”). By participating in our affiliate program, you agree that you have read and understand the terms and conditions of this agreement and that you are bound by them.
Section 1 – Overview
This Agreement outlines the terms and conditions for becoming an affiliate in the Wholesale Automatics Affiliate Program. It enables referral linking between your website, social media, blog, or other media platform and automatictransmission.com.au. Throughout this Agreement, “we,” “us,” and “our” refers to automatictransmission.com.au, and “you,” “your,” and “yours” refers to the affiliate.
Section 2 – Application Approval or Rejection
We reserve the right to approve or reject any Affiliate Program application at our sole discretion. You have no legal recourse against us for rejecting your application.
Section 3 – Affiliate Obligations
3.1 Application Submission
Submit a completed Affiliate Program application for our consideration. We may reject applications if your platform is unsuitable, including content that:
- Promotes explicit materials, violence, discrimination, illegal activities.
- Infringes on intellectual property rights or violates the law.
- Uses “wholesale automatics” in domain names or page handles.
- Contains harmful or inappropriate content.
- We believe may not be compatible with our brand image
3.2 Affiliate Portal Access
Upon acceptance, you will access our affiliate portal to review program details, personal information, commission rates, payment information, and generate referral links, or HTML codes. Use these tools to ensure accurate tracking of your referral commissions.
3.3 Placement Review
We may review and the placement of referral links and associated content and require changes to comply with our guidelines.
3.4 Site Maintenance
You are responsible for maintaining and updating your platform. We may monitor your site to ensure it is up-to-date and suggest changes to enhance performance.
3.5 Legal Compliance
You must ensure compliance with all intellectual property and other laws applicable to your platform. You must have permission to use copyrighted materials.
3.6 Website / Traffic Source Design
You must not create or design your website or traffic source in a way that resembles our website or digital assets in a manner which leads a customer to believe you are automatictransmission.com.au or any of our affiliated businesses.
Section 4 – Branding Guidelines
4.1 Link Usage
You may use graphic and text links on your website, emails, social media, or other platforms to direct traffic to our website pages or products on our website.
4.2 Creative Materials
Use provided creatives or create your own as long as they are appropriate.
4.3 Advertising Restrictions
Do not advertise on bargain/deal websites or coupon aggregators. You may not create advertisements with companies like google, facebook, instagram or similar that sell commercial advertising placements that directly link to our site. The affiliate link must be placed on your digital content that you own or create.
4.4 Domain Restrictions
Do not use “wholesale automatics” or variations in your domain name or handles.
4.5 PPC Bidding
Do not use our brand names or product names or similar variations thereof in PPC (Pay Per Click) bidding.
Section 5 – Rights and Obligations
5.1 Monitoring
We may monitor your platform to ensure compliance with terms in this agreement. Non-compliance may result in termination at our sole discretion as defined in Section 6.
5.2 Termination Rights
We can terminate this Agreement and your participation immediately for fraudulent activities or program abuse.
5.3 Agreement Duration
This Agreement starts upon acceptance of your application and continues unless terminated.
5.4 Commissions
We will provide notification of each commission rate and the products to which the commission applies. These may be adjusted from time to time at our discretion with written notice to you. Commissions will be payable by the 7th of each month for commissions earned in the full calendar month 2 months prior.
Example: Commissions earned in June will be paid by 7th Aug.
Section 6 – Termination
6.1 Suspension or Termination
Your application and status may be suspended or terminated for breaches, inappropriate advertisements, spamming, promoting illegal activities, or other violations. Upon termination you must remove all digital creatives provided under this agreement from your site/accounts.
6.2 Termination Notice
Either party may terminate the Agreement with written notice at any time.
Section 7 – Modification
We may modify any terms and conditions at our sole discretion, with notice to you. Continued participation indicates your acceptance of the changes.
Section 8 – Payment
Payments are handled by a third party and are made through PayPal as per clause 5.4.
Section 9 – Access to Affiliate Portal
You may access your affiliate portal by creating an account, which provides reports on commissions, personal information, payment details, and history.
Section 10 – Promotion Restrictions
10.1 Promotion Guidelines
Promoting our products on via platforms/accounts must not imply a legal partnership with automatictransmission.com.au. Prohibited advertising includes spamming and misrepresentation.
10.2 PPC Campaigns
Affiliates bidding on keywords related to our brand must direct traffic to their own site before sending traffic to ours.
10.3 Prohibited Software
Do not use software that interferes with commission tracking or alters user experience on our site. Affiliates must not derive any affiliate income from code that alters our website experience that is not provided or approved by us.
Section 11 – Grant of Licenses
11.1 License to Use Materials
We grant you a non-exclusive, non-transferable, revocable right to use our logos, trade names, digital creatives and trademarks in accordance with this Agreement.
11.2 Content Use Rights
We have the right to use content generated by affiliates in connection with this Agreement.
11.3 Use of Proprietary Materials
Do not use proprietary materials in a disparaging, misleading, or obscene manner.
Section 12 – Disclaimer
We make no warranties regarding our website or any other assets and are not liable for interruptions or errors.
Section 13 – Representations and Warranties
You represent that this Agreement is valid and enforceable, and you have the authority to enter into it.
Section 14 – Limitations of Liability
We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the commission fees paid to you.
Section 15 – Indemnification
You agree to indemnify and hold us harmless from any claims, actions, or losses arising from your use of our trademarks or content on your platform.
Section 16 – Confidentiality
Confidential information disclosed during this Agreement remains the property of the disclosing party and must not be used or disclosed without permission.
Section 17 – Miscellaneous
17.1 Independent Contractor
You are an independent contractor, not a legal partner, joint venture, or employee.
17.2 Assignment
Neither party may assign its rights or obligations without the other’s consent.
17.3 Governing Law
This Agreement is governed by the laws of Victoria, Australia.
17.4 Amendments
Amendments must be in writing and signed by both parties.
17.5 Entire Agreement
This Agreement supersedes all prior agreements and communications.
17.6 Headings
Headings are for convenience only and do not affect the terms.
17.7 Severability
Invalid provisions are eliminated or limited to maintain the Agreement’s intent.
